Acceptance of Terms
Welcome to DSG. DSG provides its service to you, subject
to the following Terms of Use, which may be updated from
time to time without notice to you. By accessing or using
DSG web site or services, you agree to be bound by these
Terms of Use. If you wish not to be bound by these Terms
of Use, you may not access or use DSG web site or services.
Description of Services
DSG provides users with access or use to collections including
but not limited to various communications tools, member
profile, personalized content and branded programming
("Services"). You understand and agree that
the Services may include advertisements and that these
advertisements are necessary for DSG to provide the Services.
You also understand and agree that the services may include
certain communications from DSG, such as service announcements,
administrative messages and the newsletter, and that these
communications are considered part of DSG membership and
you will not be able to opt out of receiving them. Unless

or enhance the current Services, including the release

has reasonable grounds to suspect that such information

Account, Password and Security
You are responsible for maintaining the confidentiality
of the password and account, and are fully responsible
for all activities that occur under your password or account.
You agree to immediately notify DSG of any unauthorized
use of your password or account or any other breach of
security, and ensure that you exit from your account at
the end of each session. You are responsible for any loss
or damage arising from using your account, whether or
not actually or expressly authorized by you.
Member Conduct
You agree to use the Services for lawful purposes only.
You will not post or transmit through the site any unlawful,
harmful, threatening, abusive, harassing, defamatory,
vulgar, obscene, sexually explicit, profane, hateful,
discriminatory, or other objectionable material of any
kind, including, without limitation, material that encourages
unlawful conduct. If DSG believes, in its sole discretion,
that you have engaged in any of the foregoing conduct,
DSG may terminate or suspend your account or use of the
Services.
Special Admonitions For International Use
Recognizing the global nature of the Internet, you agree
to comply with all local rules regarding online conduct
and acceptable content. Specifically, you agree to comply
with all applicable laws regarding the transmission of
technical data exported from the country in which you
reside.
Indemnity
You agree to indemnify and hold DSG, and its subsidiaries,
affiliates, officers, agents, co-branders or other partners,
and employees, harmless from any claim or demand, including
reasonable attorneys' fees, made by any third party due
to or arising out of your use of the Services, your connection
to the Services, your violation of the Statement, or your
violation of any rights of another.
Modifications To Services
DSG reserves the right at any time and from time to time
to modify or discontinue, temporarily or permanently,
the Services or any part thereof it with or without notice.
You agree that DSG shall not be liable to you or to any
third party for any modification, suspension or discontinuance
of the Services.
Termination
You agree that DSG, in its sole discretion, may terminate
your password, account or any part thereof it or use of
the Services for any reason, including, without limitation,
for lack of use or if DSG believes that you have violated
or acted inconsistently with the letter or spirit of the
Statement. DSG may also in its sole discretion and at
any time discontinue providing the Services, or any part
thereof, with or without notice. You agree that any termination
of your access to the Services under any provision of
this Statement may be effected without prior notice, and
acknowledge and agree that DSG may immediately deactivate
or delete your account and all related information and
data in your account and/or bar any further access to
such data or the Services. Further, you agree that DSG
shall not be liable to you or any third-party for any

links to other World Wide Web sites or resources. Because
DSG has no control over such sites and resources, you
acknowledge and agree that DSG is not responsible for
the availability of such external sites or resources,
and does not endorse and is not responsible or liable
for any content, advertising, products, or other materials
on or available from such sites or resources. You further
acknowledge and agree that DSG shall not be responsible
or liable, directly or indirectly, for any damage or loss
caused or alleged to be caused by or in connection with
use of or reliance on any such content, goods or services
available on or through any such site or resource.
DSG'S Proprietary Rights
You acknowledge and agree that the Services and any necessary
software used in connection with the Services ("Software")
contain proprietary and confidential information that
is protected by applicable intellectual property and other
laws. You further acknowledge and agree that content contained
in sponsor advertisements or information presented to
you through the Services or advertisers is protected by
copyrights, trademarks, service marks, patents or other
proprietary rights and laws. Except as expressly authorized
by DSG or advertisers, you agree not to modify, rent,
lease, loan, sell, distribute or create derivative works
based on the Services or the Software, in whole or in
part.
DSG grants you a personal, non-transferable and non-exclusive
right and license to use the object code of its Software
on a single computer; provided that you do not (and do
not allow any third party to) copy, modify, create a derivative
work of, reverse engineer, reverse assemble or otherwise
attempt to discover any source code, sell, assign, sublicense,
grant a security interest in or otherwise transfer any
right in the Software. You agree not to modify the Software
in any manner or form, or to use modified versions of
the Software, including but without limitation for the
purpose of obtaining unauthorized access to the Services.
You agree not to access the Services by any means other
than through the interface that is provided by DSG for
use in accessing the Services.

Disclaimer Of Warranties
YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICE
IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE"
BASIS. DSG EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND,
WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED
TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS
FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
DSG MAKES NO WARRANTY THAT (i) THE SERVICES WILL MEET
YOUR REQUIREMENTS, (ii) THE SERVICES WILL BE UNINTERRUPTED,
TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS THAT
MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE
ACCURATE OR RELIABLE, (iv) THE QUALITY OF ANY PRODUCTS,
SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR
OBTAINED BY YOU THROUGH THE SERVICES WILL MEET YOUR
EXPECTATIONS, AND (V) ANY ERRORS IN THE SOFTWARE WILL
BE CORRECTED.
ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH
THE USE OF THE SERVICES IS DONE AT YOUR OWN DISCRETION
AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR
ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT

Limitation Of Liability
YOU EXPRESSLY UNDERSTAND AND AGREE THAT DSG SHALL NOT

CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT
LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE,

ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING
FROM: (i) THE USE OR THE INABILITY TO USE THE SERVICES;
(ii) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND
SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION
OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED
OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SERVICES;
(iii) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS
OR DATA; (iv) STATEMENTS OR CONDUCT OF ANY THIRD PARTY
ON THE SERVICES; OR (v) ANY OTHER MATTER RELATING TO
THE SERVICES.
Trademark
All corporate names, service markets, logs, trade names,
trademarks, websites and domain names of DSG in English
or Chinese characters ("Marks") are the exclusive
property of DSG. Without DSG's prior permission, you
agree not to display or use in any manner, the DSG Marks.
Copyright
All Services and materials found in the website are
protected by trademark, copyright, or other intellectual
property laws. Any commercial use of the Services is
prohibited, without the express or prior written consent
of DSG. Any reproduction or redistribution of the Services
not in accordance with the terms set forth herein is
expressly prohibited by law, and may result in severe
civil and criminal penalties.
